1. Services

Valley Green Web Design provides subscription-based website design, website maintenance, local SEO, and related digital marketing services for small businesses and home service providers.

• Services are delivered on a month-to-month subscription basis.

• There are no upfront design fees unless otherwise stated in writing.

• Features, deliverables, and pricing are outlined on our website or in your subscription agreement.

2. Payment Terms

• All payments are billed monthly in advance via our secure payment processor (e.g., Stripe).

• Subscriptions automatically renew each month unless canceled by the client.

• Failed or late payments may result in suspension or termination of services.

• Fees are non-refundable once charged.

3. Client Responsibilities

Clients agree to:

• Provide accurate and timely information, including business details, logos, content, and approvals.

• Ensure they own or have rights to all materials submitted for use on their website.

• Respond promptly to communication to avoid delays in service delivery.

4. Intellectual Property & Ownership

• All website designs, layouts, graphics, code, and related materials created by Valley Green Web Design remain the exclusive property of Valley Green Web Design.

• Clients are granted a limited, non-exclusive, non-transferable license to use their website while their subscription is active and in good standing.

• Because no upfront design fee is charged, ownership of the website does not transfer to the client unless a buyout option (see Section 5) is exercised.

• All client-provided content (such as logos, text, images, and business information) remains the property of the client.

5. Buyout Option

• Clients may request to purchase full ownership of their website design and files.

• Buyout pricing will be determined based on project scope, design complexity, and subscription history.

• Upon full payment of the buyout fee, ownership of the website design (excluding third-party stock images, licensed plugins, or software) will transfer to the client.

• Until a buyout is completed, all intellectual property remains the property of Valley Green Web Design.

6. Acceptable Use

Clients may not use our services or websites we provide for:

• Illegal or fraudulent purposes.

• Hosting defamatory, offensive, or discriminatory content.

• Distributing malware, spam, or malicious code.

Valley Green Web Design reserves the right to suspend or terminate services if a client’s use violates these terms.

7. Liability

• Valley Green Web Design is not liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services.

• We are not responsible for downtime, performance issues, or damages caused by third-party providers (such as hosting companies, plugin developers, or search engines).

8. Warranties & Disclaimers

• While we optimize websites for search engines, we do not guarantee specific search engine rankings, traffic levels, or business results.

• All services are provided “as is” without warranties of any kind, express or implied.

9. Cancellations & Termination

• Clients may cancel their subscription at any time by providing written notice at least 7 days before the next billing cycle.

• Once a subscription is canceled, access to the website and services will be suspended.

• No refunds will be provided for partial subscription periods.

• Valley Green Web Design may terminate services immediately for non-payment, misuse of services, or violation of these Terms.

10. Privacy

Your use of our services is also governed by our Privacy Policy.

11. Changes to These Terms

We may update or revise these Terms and Conditions from time to time. Changes will be posted on this page with a revised “Last Updated” date.

12. Governing Law

These Terms and Conditions are governed by the laws of the Commonwealth of Pennsylvania, United States. Any disputes will be handled in the appropriate courts located in Pennsylvania.
